Terms of Use

This Terms of Use Agreement (this "Agreement") is a legal agreement between you ("you" or “your”) and MyEdu Corporation, its affiliates, and each of their respective successors and assigns (collectively, “MyEdu”) governing your use of (i) MyEdu’s online education-related services or other services developed, operated, or maintained by MyEdu, or accessible via http://www.MyEdu.com or any other designated web site or IP address (the “Site”), (ii) the content contained therein, including any data, newsletters, and other printed communications, and (iii) any offline components provided by MyEdu for use in connection therewith (items (i), (ii), and (iii) are collectively referred to as the “Service”).

BY USING THE SERVICE, OR DOWNLOADING, INSTALLING, ACTIVATING OR USING ANY MATERIALS OR DATA AVAILABLE OR ACCESSIBLE THROUGH THE SITE, YOU ARE AGREEING THAT YOU HAVE READ, AND AGREE TO COMPLY WITH AND BE BOUND BY, THE TERMS OF THIS AGREEMENT IN THEIR ENTIRETY WITHOUT LIMITATION OR QUALIFICATION AS WELL AS MYEDU’S PAYMENT AND REFUND POLICIES AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND MYEDU’S PAYMENT AND REFUND POLICIES AND TO FOLLOW ALL APPLICABLE LAWS, DO NOT ACCESS OR USE THE SERVICE OR THE SITE.

  1. License Grant

    Subject to the terms and conditions of this Agreement, MyEdu hereby grants you a limited, non-exclusive, non-transferable, license to access and use the Service solely on a server controlled by MyEdu and solely for your own purposes. The license granted herein is expressly conditioned on your continued compliance with the terms and conditions of this Agreement.

  2. Restrictions on License Grant

    Your use of the Service is limited to the scope of the license granted in this Agreement and this Agreement does not permit you to use the Service other than as provided herein. You acknowledge that the Service constitutes valuable trade secrets and/or the confidential information of MyEdu or its licensors. You acknowledge and agree that except as otherwise authorized under this Agreement or otherwise specified in writing between the parties:

    1. You shall not license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, grant a security interest in, or otherwise transfer any rights to, or commercially exploit, the Service or any information, documents, software, products and services contained or made available to you in the course of using the Service (the “Content”) or use the Service to run or as part of a service bureau, outsourced, or managed services arrangement;
    2. You shall not copy, reproduce, republish, upload, post, transmit or distribute the Service or the Content in any way;
    3. You shall not modify, translate, alter, adapt, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction), reproduce, distribute or display, or create derivative works, compilations or collective works based on the Service or the Content;
    4. You shall not knowingly or negligently permit other individuals or entities to use or copy the Service, or create Internet "links" to the Service or "frame" or "mirror" the Service on any other server or wireless or Internet-based device;
    5. You shall not access the Service to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, (c) copy any ideas, features, functions or graphics of the Service, (d) monitor its availability, performance or functionality, or (e) for any other benchmarking or competitive purposes;
    6. You shall not access the Service if you sell or provide any service, software, or product that may compete with MyEdu’s services, software, or products (a “Competitor”);
    7. You shall not attempt to use or gain unauthorized access to data, accounts, hosts, systems or networks of MyEdu or any of its customers or suppliers, or those of any other party; breach the security of another user or system, or attempt to circumvent the user authentication or security of any host, network, or account, including, without limitation, accessing data not intended for you or logging into or making use of a server or account you are not expressly authorized to access;
    8. You shall not attempt to probe, scan or test the vulnerability of a system, account or network of MyEdu or any of its customers or suppliers, any MyEdu product or service, or those of any other party;
    9. You shall not interfere, or any attempt to interfere, with service to any user, host or network including, without limitation, mail-bombing, flooding, and attempting to deliberately overload the system or distribute programs that “crack,” or make unauthorized changes to, the software;
    10. You shall not forge any TCP-IP packet header or any part of any header information, falsify, alter or remove address information or other modification of e-mail headers; collect responses from unsolicited bulk messages, falsify references to MyEdu or the Service, by name or other identifier, in messages; impersonate any person or entity, engage in sender address falsification, forge anyone else's digital or manual signature, or perform any other similar fraudulent activity;
    11. You shall not restrict, inhibit, or otherwise interfere with the ability of any other person, regardless of intent, purpose or knowledge, to use or enjoy the Service (except for tools for safety and security functions), including, without limitation, posting or transmitting any information or software which contains a worm, virus, or other harmful feature, or generating levels of traffic sufficient to impede others' ability to use, send, or retrieve information;
    12. You shall not restrict, inhibit, interfere with, or otherwise disrupt or cause a performance degradation, regardless of intent, purpose or knowledge, to the Service or any MyEdu (or MyEdu supplier) host, server, backbone network, node or service, or otherwise cause a performance degradation to any MyEdu (or MyEdu supplier) facilities used to deliver the Service;
    13. You shall not create or use any program, tags, markers, bots, mousetraps, highjackers or other similar computer routines or sub-routines to automatically access or manipulate the Service; and
    14. You shall not knowingly: (i) send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; or (ii) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy rights.

    Because of the difficulty associated with quantifying damages, in addition to any other damages to which MyEdu may be entitled, if actual damages cannot be reasonably calculated then you agree to pay MyEdu liquidated damages of $250 for each violation of this Section 2 or the maximum liquidated damages permitted under law, whichever is greater; otherwise you agree to pay MyEdu’s actual damages, to the extent such actual damages can be reasonably calculated.

  3. Your Obligations

    You are responsible for all activity occurring when the Service is accessed through your password and you shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Service, including those related to data privacy, international communications and the transmission of technical or personal data. You shall: (i) notify MyEdu immediately of any unauthorized use of any password or account or any other known or suspected breach of security; (ii) report to MyEdu immediately and use reasonable efforts to stop immediately any copying or distribution of Content that is known or suspected by you; (iii) notify MyEdu when you no longer require access to the Service; and (v) keep all of your profile information current. You are also solely and exclusively responsible for providing and maintaining all computer hardware, telephone and other equipment necessary to operate the licensed Service and the internet service required to access the Service over the Internet. MyEdu shall have no responsibility for the procurement, operation or compatibility of your hardware or capabilities of your internet service provider.

  4. Postings

    MyEdu may from time to time monitor, review, and in its discretion edit or delete, discussions, chats, and postings on our Site; however, MyEdu is under no obligation to do so and assumes no responsibility or liability arising from the content of any such transmissions or for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, hate speech, danger, illegality or inaccuracy contained in any information transmitted to any such locations on our Site. MyEdu will cooperate with law enforcement or a court order requesting or directing MyEdu to disclose the identity of anyone posting any information or material prohibited by this Agreement. MyEdu may also disclose such information if such disclosure is reasonably necessary to protect the rights, property, or personal safety of MyEdu, its clients, or the public.

  5. User Comments, Feedback and Other Submissions

    All comments, feedback, suggestions, ideas, and other submissions disclosed, submitted, or offered to MyEdu on or by this Site or otherwise disclosed, submitted, or offered in connection with your use of this Site or otherwise (collectively, "Comments") shall be and remain MyEdu's property. Such disclosure, submission, or offer of any Comments shall constitute an assignment to MyEdu of all worldwide rights, titles, and interests in all copyrights and other intellectual property in the Comments. Thus, MyEdu will own exclusively all such rights, title, and interest and shall not be limited in any way in its use, commercial or otherwise, of any Comments. MyEdu is and shall be under no obligation (1) to maintain any Comments in confidence; (2) to pay to user any compensation for any Comments; or (3) to respond to any Comments.

  6. Intellectual Property Ownership

    All right, title and interest in the Service and the Site, including technology and trade secrets embodied therein and any custom developments created or provided in connection with or related to this Agreement, including all copyrights, patents, trade secrets, trade dress and other proprietary rights, and any derivative works thereof, shall belong solely and exclusively to MyEdu or its licensors, and you shall have no rights whatsoever in any of the foregoing. You acknowledge that the Service constitutes a valuable trade secret and/or is the confidential information of MyEdu or its licensors. Nothing in this Agreement or otherwise will be deemed to grant to you an ownership interest in the Service, in whole or in part. All content and materials included as part of the Service, such as text, graphics, logos, button icons, images, audio clips, information, data, forms, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material, and software (the "Works") are the property of MyEdu or its content suppliers and is protected by copyrights, trademarks, trade secrets, or other proprietary rights and these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed. All Works are copyrighted as individual works and as a collective work under the U.S. copyright laws (17 U.S.C. Section 101, et. seq.) and international treaty provisions, and MyEdu owns a copyright in the selection, coordination, arrangement and enhancement thereof. You may not modify, remove, delete, augment, add to, publish, transmit, adapt, translate, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the Works, in whole or in part. Any use other than as contemplated herein, including the reproduction, modification, distribution, transmission, adaptations, translation, republication, display, or performance, of the Works, except as specifically permitted herein, is strictly prohibited. You understand and acknowledge that unauthorized disclosure, use or copying of the proprietary products and services provided pursuant to this Agreement may cause MyEdu and its licensors irreparable injury, which may not be remedied at law, and you agree that MyEdu and its licensors' remedies for breach of this Agreement may be in equity by way of injunctive or other equitable relief.

  7. Trademarks

    The MYEDU name and logo and other related names, design marks, product names, feature names and related logos are trademarks of MyEdu and may not be used, copied or imitated, in whole or in part, without the express prior written permission of MyEdu. In addition, the look and feel of the Service (including all page headers, custom graphics, button icons, and scripts) constitutes the service mark, trademark and/or trade dress of MyEdu and may not be copied imitated or used, in whole or in part, without the express prior written permission of MyEdu.

  8. Term; Termination; Suspension of Service

    The term of this Agreement commences on your first use of the Service and continues through any subsequent use of the Service thereafter. Any unauthorized use of the Service will be deemed a material breach of this Agreement. MyEdu, in its sole discretion, may terminate your password, account or use of the Service if you breach or otherwise fail to comply with this Agreement or MyEdu’s then-current payment or refund policies. In addition, MyEdu may terminate a free account at any time in its sole discretion. If Service is suspended, whether for non-payment or any other reason, in order to reinstate service, you must re-subscribe to the Service, including the payment of any fees required to be paid by a new subscriber.

  9. Representations & Warranties

    Each party represents and warrants that it has the legal power and authority to enter into this Agreement. You represent and warrant that you have not falsely identified yourself nor provided any false information to gain access to the Service. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions, in which case the terms "you" or "your" shall refer to such entity. If you do not have such authority, you must immediately stop using the Service.

  10. Indemnification

    You shall defend, indemnify and hold MyEdu harmless from and against any and all losses, damages, liabilities, costs, judgments, charges and expenses, including reasonable attorneys’ fees, arising out of or relating to any act or omission by you with respect to (i) your use of the Service or (ii) your breach or violations of this Agreement.

  11. Disclaimer of Warranties

    EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THIS AGREEMENT, (A) THE SERVICE IS PROVIDED "AS-IS" AND “WITH ALL FAULTS”, AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYEDU, INCLUDING ITS AFFILIATES, SUBSIDIARIES, LICENSORS, SUBCONTRACTORS, DISTRIBUTORS, SERVICES PARTNERS, AGENTS AND MARKETING PARTNERS AND EACH OF THEIR RESPECTIVE EMPLOYEES, DIRECTORS AND OFFICERS (COLLECTIVELY, THE "MYEDU PARTY(IES)") DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE, OR OTHERWISE RELATING TO THIS AGREEMENT, INCLUDING WARRANTIES AND CONDITIONS OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, MERCHANTABLE QUALITY, NON-INFRINGEMENT AND ACCURACY AND NON-INTERFERENCE; (B) NEITHER MYEDU NOR ANY MYEDU PARTY WARRANTS THAT (i) THE SERVICE IS OR WILL BE SECURE, ACCURATE, COMPLETE, UNINTERRUPTED, WITHOUT ERROR, WITHOUT LOSS OF DATA, OR FREE OF VIRUSES, WORMS, OTHER HARMFUL COMPONENTS, OR OTHER PROGRAM LIMITATIONS, (ii) THE SERVICE WILL MEET YOUR REQUIREMENTS, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; (C) YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION OF PROBLEMS CAUSED BY VIRUSES OR OTHER HARMFUL COMPONENTS, UNLESS SUCH ERRORS OR VIRUSES ARE THE DIRECT RESULT OF MYEDU’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (D) MYEDU AND THE MYEDU PARTIES, JOINTLY AND SEVERALLY, DISCLAIM AND MAKE NO WARRANTIES OR REPRESENTATIONS AS TO THE ACCURACY, QUALITY, RELIABILITY, SUITABILITY, COMPLETENESS, TRUTHFULNESS, USEFULNESS, OR EFFECTIVENESS OF THE RATINGS, REVIEWS, SCHEDULES, PLANNERS, CALCULATIONS, DATA, REPORTS, RESULTS OR OTHER INFORMATION OBTAINED, GENERATED OR OTHERWISE RECEIVED BY YOU FROM ACCESSING AND/OR USING THE SERVICE OR OTHERWISE RELATING TO THIS AGREEMENT, AND (E) USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK AND NEITHER MYEDU NOR ANY OF THE MYEDU PARTIES SHALL HAVE ANY LIABILITY OR RESPONSIBILITY THEREFOR.

  12. Interruption of Service

    YOU AGREE THAT THE OPERATION AND AVAILABILITY OF THE SYSTEMS USED FOR ACCESSING AND INTERACTING WITH THE SERVICE, INCLUDING, THE PUBLIC TELEPHONE, COMPUTER NETWORKS AND THE INTERNET OR TO TRANSMIT INFORMATION, WHETHER OR NOT SUPPLIED BY YOU OR MYEDU, CAN BE UNPREDICTABLE AND MAY, FROM TIME TO TIME, INTERFERE WITH OR PREVENT THE ACCESS TO AND/OR THE USE OR OPERATION OF THE SERVICE. NEITHER MYEDU NOR ANY OF THE MYEDU PARTIES SHALL BE LIABILE FOR ANY INTERFERENCE WITH OR PREVENTION OF YOUR ACCESS TO AND/OR USE OF THE SERVICE.

  13. Limitation of Liability

    NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, IN NO EVENT WHATSOEVER SHALL MYEDU BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST TIME, LOSS OF DATA OR GOOD WILL, EVEN IF MYEDU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE. MYEDU SHALL NOT BE LIABLE FOR ANY CLAIMS AGAINST YOU BY THIRD PARTIES. IN NO EVENT SHALL THE MAXIMUM CUMULATIVE LIABILITY OF MYEDU IN CONNECTION WITH THE SERVICE AND/OR THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, EXCEED THE AMOUNT OF THE PAYMENTS MADE TO MYEDU FOR THE SPECIFIC SERVICE(S) GIVING RISE TO SUCH CLAIM IN THE SIX (6) MONTHS PRIOR TO SUCH CLAIM. NO ACTION, REGARDLESS OF FORM, ARISING FROM OR PERTAINING TO THE SERVICE MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER SUCH ACTION HAS ACCRUED. YOU ACKNOWLEDGE THAT THESE LIMITATIONS OF LIABILITY SHALL APPLY EVEN IF THE REMEDIES FAIL THEIR ESSENTIAL PURPOSE AND THAT, WITHOUT THESE LIMITATIONS, YOU WOULD HAVE PAID A HIGHER FEE FOR THE SERVICE PROVIDED HEREUNDER. Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental, consequential or certain other types of damages, so the exclusions set forth above may not apply to you.

  14. Account Access

    Where use of the Service is contingent on you and your users accessing an "account" and/or inserting a "user-identification" and/or "password", you agree that you will be solely responsible for the user-ids and passwords that are provided to you (as such passwords may be changed from time to time in accordance with features of the Service) to log-in to the password protected Service. If non-authorized individuals have access to your systems or to your users' user-id and password, they may be able to use the Service. You and your users shall keep any correspondence you receive relating to or through the use of the Service (including, but not limited to, your user-id, passwords, and other registration or sign-in information) confidential and in a safe place and not disclose it to any third party. You will be responsible and liable for all communications and actions that take place through the use of your user-ids, including without limitation, any actions that occur without your authorization. Accordingly, it is your responsibility to take appropriate actions immediately if any password has been stolen, leaked, compromised or otherwise used without proper consent.

  15. Local Laws and Export Control

    You acknowledge that the Service, which may include technology and software, may be subject to the customs and export control laws and regulations of the United States and may also be subject to the customs and export laws and regulations of the country in which the Service is rendered and/or received. You agree to abide by those laws and regulations. You are solely responsible for obtaining any specific licenses relating to the export of software if a license is needed. MyEdu’s agreement to provide the Service is contingent upon the issuance of any applicable export license required by the United States Government. MyEdu is not liable for delays or failure to deliver Service or a product resulting from your failure to obtain such license or to provide such certification.

  16. Notice

    MyEdu may give notice by means of a general notice via the Service, electronic mail to your e-mail address on record in MyEdu’s account information, or by written communication sent by first class mail or pre-paid post to your address on record in MyEdu’s account information. Such notice shall be deemed to have been given upon the expiration of 48 hours after mailing or posting (if sent by first class mail or pre-paid post) or 12 hours after sending (if sent by email). You may give notice to MyEdu (such notice shall be deemed given when received by MyEdu) at any time by any of the following: letter sent by confirmed facsimile to MyEdu at the following fax number: (512) 469-9731; letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail to MyEdu Corporation, 1301 S. Mopac Expwy, Ste 250; Austin, TX 78746, ATTN: CFO.

  17. Modification to Terms

    MyEdu reserves the right to modify the terms and conditions of this Agreement or its policies relating to the Service at any time, effective upon posting of an updated version of this Agreement on the Site. You are responsible for regularly reviewing this Agreement. Continued use of the Service after any such changes shall constitute your consent to such changes.

  18. Assignment; Change in Control

    This Agreement may not be assigned by you without the prior written approval of MyEdu but may be assigned without your consent by MyEdu to (i) a parent or subsidiary, (ii) an acquirer of assets, or (iii) a successor by merger. Any purported assignment in violation of this section shall be void.

  19. Customer Communications; Disclosure

    From time-to-time MyEdu may ask whether or not you wish to receive marketing and other non-critical Service-related communications. You may elect not to receive such communications at that time or opt-out of receiving such communications at any subsequent time by notifying MyEdu. Because the Service is a hosted, online application, MyEdu may need to notify all users of the Service (whether or not they have opted out as described above) of important announcements regarding the operation of the Service. MyEdu reserves the right to disclose that you are a user of the Service.

  20. General

    1. This Agreement shall be governed by Texas law and controlling United States federal law, without regard to the choice or conflicts of law provisions of any jurisdiction or the United Nations Convention on the International Sale of Goods, and any disputes, actions, claims or causes of action arising out of or in connection with this Agreement or the Service, with the exception of claims for injunctive relief, shall be subject to the exclusive jurisdiction of the state and federal courts located in Austin, Texas.
    2. Any cause of action you may have with respect to your use of the Service must be commenced within one (1) year after the claim or cause of action arises.
    3. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provisions shall be construed, as nearly as possible, to reflect the intentions of the invalid or unenforceable provisions, with all other provisions remaining in full force and effect.
    4. It may be necessary for MyEdu to perform scheduled or unscheduled repairs, maintenance, or upgrades and such activities may temporarily degrade the quality of the Service or result in a partial or complete outage of the Service. MyEdu provides no assurance that you will receive advance notification of such activities or that the Service will be uninterrupted or error-free. Any degradation or interruption in the Service shall not give rise to a refund or credit of any fees paid by you.
    5. No joint venture, partnership, employment, or agency relationship exists between you and MyEdu as a result of this agreement or use of the Service. The failure of MyEdu to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by MyEdu in writing.
    6. Neither party shall be liable to the other party for any failure to perform any of its obligations (except payment obligations) under this Agreement during any period in which such performance is delayed by circumstances beyond its reasonable control including, but not limited to, fire, flood, war, embargo, strike, riot or the intervention of any governmental authority.
    7. If you have not entered into another agreement with MyEdu regarding the subject matter contained herein, then this Agreement comprises the entire agreement between you and MyEdu and supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between the parties regarding such subject matter. However, if you and MyEdu have entered into another agreement regarding the subject matter set forth herein that is a written and signed agreement between you and MyEdu, then this Agreement should be read and interpreted in conjunction with such agreement and, in the event of a conflict between this Agreement and a written, signed agreement between the parties, the written, signed agreement shall govern and control.

Privacy Policy

This privacy policy (the “Privacy Policy”) covers the MyEdu website (the “Site”). Please read below to review our Privacy Policy and the types of information we gather through our Site. In this Privacy Policy, “MyEdu”, “we”, “us”, “our” and other similar references means MyEdu Corporation and “User”, “End User”, “you”, and “your” and other similar references mean a specific user of the Site. By visiting the Site, you accept the practices described in this Privacy Policy. If you have any questions about our privacy policy, please email us at customer.service@myedu.com.

PLEASE READ THIS PRIVACY POLICY CAREFULLY. BY ACCESSING OR USING OUR SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND TO ALL THE TERMS OF THIS PRIVACY POLICY AND OUR SITE’S TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS, EXIT THIS PAGE AND DO NOT ACCESS OR USE THE SITE.

  1. Changes to Privacy Policy

    We may change this Privacy Policy at any time by posting the revised Privacy Policy in the “Privacy Policy” section of the Site. The revised Privacy Policy is effective immediately when posted on the Site. It is the responsibility of each User to review the Site and the Privacy Policy periodically to learn of any revisions to this Privacy Policy.   2. Types of Information Collected and Uses of Collected Information

    We collect two types of information about our End Users: Personally Identifiable Information and Non-Personally Identifiable Information.

    Personally Identifiable Information.

    Personally Identifiable Information is information that identifies a specific End User. When you engage in certain activities on the Site, such as creating an account, purchasing access to premium features, ordering a product or service from us or our partners, participating in community and social networking features such as submitting content and/or posting content in discussion forums, entering a contest or sweepstakes sponsored by us or our partners, filling out a survey, posting a review, sending us or our partners feedback, requesting information about our services, applying for a job, posting a video or signing up for special offers from third parties through the Site (collectively, “Identification Activities”), we may ask you to provide certain information about yourself. It is optional for you to engage in an Identification Activity. If you elect to engage in an Identification Activity, however, we may ask you to provide us with certain personal information about yourself, such as your first and last name, mailing address (including zip code), email address, telephone number and date of birth. When you order products or services or purchase access to premium features, we may also ask you to provide us with your credit card number, expiration date and authentication codes or related information. Depending on the activity, some of the information we ask you to provide is identified as mandatory and some is identified as voluntary. If you do not provide the mandatory information for a particular activity that requires it, you will not be permitted to engage in that activity.

    We may also collect Personally Identifiable Information about you from other Users who have stored information about you when they elect to use our social networking or community features, or when they enable connectivity with another website or application where they have stored such information. For instance, your friends may have stored information about you in places such as their friends lists, address books, or photos on the Site and other sites with which MyEdu interacts. In addition, when you access the Site through a service partner, we may automatically collect certain aspects of your registration information (such as your email address or profile photo).

    We use Personally Identifiable Information to provide products and services to you, administer sweepstakes and contests, enhance the operation of the Site, improve our marketing and promotional efforts, analyze Site use, improve our product and service offerings, and to tailor your experience with third parties as provided in Item 3 of this Privacy Policy. For example, if you send our customer service an email we may use your comments and feedback to tell others about our services, and may post your comment in our marketing materials or on our Site. In addition, if you use our Site to send information, such as your class schedule, to another person, we may store your personal information, and the personal information of any recipient. We may use that other person’s contact information to allow the recipient to access the information you requested we send. We may also use Personally Identifiable Information to troubleshoot, resolve disputes, accomplish administrative tasks, contact you, enforce our agreements with you, including our Site’s Terms of Use and this Privacy Policy, comply with applicable law, and cooperate with law enforcement activities.

    Non-Personally Identifiable Information.

    Non-Personally Identifiable Information is information that does not identify a specific End User. This type of information may include things like the Uniform Resource Locator (“URL”) of the website you visited before coming to our Site, the URL of the website you visit after leaving our Site, the type of browser you are using and your Internet Protocol (“IP”) address. We, and/or our authorized Third Party Service Providers and Advertisers, may automatically collect this information when you visit our Site through the use of electronic tools like Cookies and Web beacons or Pixel tags, as described in Items 4 and 8 of this Privacy Policy.

    We use Non-Personally Identifiable Information to troubleshoot, administer the Site, analyze trends, gather demographic information, comply with applicable law, and cooperate with law enforcement activities. We may also share this information with our authorized Third Party Service Providers and Advertisers to measure the overall effectiveness of our online advertising, content, and programming.

  3. Release of Personally Identifiable Information

    We will not share your Personally Identifiable Information with other parties except as provided below:

    We may share your information with other MyEdu Users.

    Certain features of our Site allow you to privately or publicly share information about yourself in the course of your use of MyEdu’s services and by participating in community and social networking features such as forums, course schedule sharing, course and professor opinions and reviews, or other forms of public communication and interaction. Publically shared information may be accessible by other users and companies and may appear on other websites or web searches, and therefore this information could be read, collected, and used by others. We have no control over what other users may do with the information you voluntarily post, so please use caution when sharing any personal information.

    We may share your information with Advertisers.

    We will only share your Personally Identifiable Information with Advertisers (defined below) if you provide an opt-in consent to sharing your Personally Identifiable Information with Advertisers. Sharing this information will allow Advertisers to market directly to you should they choose to do so. We specifically disclaim any responsibility or liability for the actions of Advertisers. We do not have any responsibility for the actions of Advertisers and the actions of Advertisers are not in our control.

    We may share your information with Authorized Third Party Service Providers.

    We provide some of our services and products through third parties. These “Third Party Service Providers” perform functions on our behalf, like sending out and distributing our administrative and promotional emails. We may share your Personally Identifiable Information with such Third Party Service Providers to fulfill orders, deliver packages, send postal or email, administer contests or sweepstakes, remove repetitive information on customer lists, analyze data, provide marketing assistance, provide search results and links, process credit card payments, operate the Site, troubleshoot, and provide customer service. We may also collect personal information from individuals and companies (“Affiliates”) with whom we have business relationships and may have to also share their information with Service Providers to accomplish our administrative tasks. For example, when you order a service, we release your credit card information to the card-issuing bank to confirm payment for the service and, if applicable, release your address to the delivery service to deliver the service. Likewise, we may release an Affiliate’s information to our bank to send out a payment. We encourage Advertisers and Third Party Service Providers to adopt and post privacy policies. However, the use of your Personally Identifiable Information by such parties is governed by the privacy policies of such parties and is not subject to our control.

    We may share your information in a Business Transfer.

    If MyEdu becomes involved in a merger, acquisition, or any form of sale of some or all of its assets, we will ensure the confidentiality of any Personally Identifiable Information involved in such transactions and provide notice before personal information is transferred and becomes subject to a different privacy policy.

    We may share your information for our Protection and the Protection of Others.

    We may also disclose Personally Identifiable Information when we believe release is appropriate to comply with the law or a court order; enforce or apply this Privacy Policy, our Site’s Terms of Use or other agreements; or protect the rights, property or safety of the Site, its Users or others.

  4. Release of Non-Personally Identifiable Information

    We may disclose or share Non-Personally Identifiable Information with third parties such as our business partners, Affiliates, and Advertisers. For example, we may share aggregated demographic information (which does not include any Personally Identifiable Information) with “Third Party Advertisers” or “Third Party Advertising Companies” (collectively “Advertisers”) and other parties as provided below:

    We use Third Party Advertising Companies to serve ads when you visit our Site. These companies may use Non-Personally Identifiable Information about your visits to this and other websites in order to provide, through the use of network tags, advertisements about goods and services that may be of interest to you. Some of these Third Party Advertising Companies may be advertising networks that are members of the Network Advertising Initiative (“NAI”).     We also use Third Party Service Providers to track and analyze Non-Personally Identifiable usage and volume statistical information from our Users to administer our Site and constantly improve its quality. We may also publish this information for promotional purposes or as a representative audience for Advertisers. Please note that this is not Personally Identifiable Information, only general summaries of the activities of our Users. Such data is collected on our behalf, and is owned and used by us.

  5. Updating and Correcting Information

    We believe that you should have the ability to access and edit the Personally Identifiable Information you provide us. You may change any of your Personally Identifiable Information by sending us an email at customer.service@myedu.com. Please indicate your name, address and email address, and what information you would like to update when you contact us.

    We encourage you to promptly update your Personally Identifiable Information if it changes. You may ask to have the Personally Identifiable Information on your account deleted or removed; however, because we keep track of past transaction activity and continue to publish past postings, you cannot delete all information associated with your activity on the Site. In addition, in may be impossible for us to completely delete all of your Personally Identifiable Information because we periodically backup information.

  6. User Choices on Collection and Use of Information

    As discussed above, you can always choose not to provide information, although it may be required to engage in a certain activity on the Site.

    As a condition of purchase of our products and services, we will send you Administrative and Promotional emails. We will send you information regarding your account activity and purchases as well as updates about our products, services, and promotional offers. You cannot opt-out of Administrative Emails. “Administrative Emails” relate to a User’s activity on the Site, and include emails regarding a particular User’s account, requests or inquiries, and purchases of products and services. In contrast to Administrative Emails, however, you do have a choice with respect to Promotional Emails. “Promotional Emails” advertise our products and services, including exclusive sales and other offers, and/or the products and services of our Advertisers and Affiliates. If you do not want to receive Promotional Emails from us, you may elect to opt-out of receiving Promotional Emails at any time after registering by e-mailing us at customer.service@myedu.com, by writing to us at the address contained herein, or by hitting the “unsubscribe” button at the bottom of any of our e-mails. When contacting us, please indicate your name, address, email address, and what Promotional Emails you do not want to receive.

  7. Security of Information

    We take security seriously and take numerous precautions to protect the security of Personally Identifiable Information. You can access your Personally Identifiable Information on our Site through a password and your email address. This password is encrypted. We recommend that you do not share your password with anyone. In addition, your Personally Identifiable Information resides on a secure server that only selected personnel and contractors have access to.

    Unfortunately, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we employ commercially reasonable security measures to protect data and seek to partner with companies which do the same, we cannot guarantee the security of any information transmitted to or from the Site, and are not responsible for the actions of any third parties that may receive any such information.

  8. Data Tracking

    Cookies.

    To facilitate and customize your experience with the Site, we store cookies on your computer. A cookie is a small text file that is stored on a User’s computer for record-keeping purposes which contains information about that User. We use cookies to save you time while using the Site, remind us who you are, and track and target User interests in order to provide a customized experience. Cookies also allow us to collect Non-Personally Identifiable Information from you, like which pages you visited and what links you clicked on. Use of this information helps us to create a more user-friendly experience for all visitors. In addition, we may use Third Party Advertising Companies to display advertisements on our Site. As part of their service, they may place separate cookies on your computer. We have no access to or control over these cookies. This Privacy Policy covers the use of cookies by our Site only and does not cover the use of cookies by any Advertiser. Most browsers automatically accept cookies, but you may be able to modify your browser settings to decline cookies.     Other Tracking Devices.

    We may use other industry standard technologies like pixel tags and web beacons to track your use of our Site pages and promotions, or we may allow our Third Party Service Providers to use these devices on our behalf. Pixel tags and web beacons are tiny graphic images placed on certain pages on our Site, or in our emails that allow us to determine whether you have performed a specific action. When you access these pages or open or click an email, pixel tags and web beacons generate a Non-Personally Identifiable notice of that action. Pixel tags allow us to measure and improve our understanding of visitor traffic and behavior on our Site, as well as give us a way to measure our promotions and performance. We may also utilize pixel tags and web beacons provided by our Affiliates and/or Advertisers for the same purposes.

  9. Privacy Policies of Third Party Websites

    This Privacy Policy only addresses the use and disclosure of information we collect from you. Other websites that may be accessible through this Site have their own privacy policies and data collection, use and disclosure practices. If you link to any such website, we urge you review the website’s privacy policy. We are not responsible for the policies or practices of third parties.

  10. Miscellaneous Privacy Issues

    No information from children under age 13.

    If you are under age 13, please do not attempt to register for MyEdu.com or provide any personal information about yourself to us. If we learn that we have collected personal information from a child under age 13, we will delete that information as quickly as possible.     Parental participation.

    We strongly recommend that minors 13 years of age or older ask their parents for permission before sending any information about themselves to anyone over the Internet and we encourage parents to teach their children about safe internet use practices.

    Minors.

    We reserve the right to add special protections for minors (such as to provide them with an age-appropriate experience) and place restrictions on the ability of adults to share and connect with minors, recognizing this may provide minors a more limited experience on MyEdu.com.

    Notice of Privacy Rights to California Residents.

    California law requires that we provide you with a summary of your privacy rights under the California Online Privacy Protection Act (the “Act”) and the California Business and Professions Code. As required by the Act, we will provide you with the categories of Personally Identifiable Information that we collect through the Site and the categories of third party persons or entities with whom such Personally Identifiable Information may be shared for direct marketing purposes at your request. California law requires us to inform you, at your request, (1) the categories of Personally Identifiable Information we collect and what third parties we share that information with; (2) the names and addresses of those third parties; and (3) examples of the products marketed by those companies. The Act further requires us to allow you to control who you do not want us to share that information with. To obtain this information, please send a request by email or standard mail to the address found below. When contacting us, please indicate your name, address, email address, and what Personally Identifiable Information you do not want us to share with Affiliates or Advertisers. The request should be sent to customer.service@myedu.com, and labeled “California Customer Choice Notice.” Please allow 30 days for a response. Also, please note that there is no charge for controlling the sharing of your Personally Identifiable Information or requesting this notice.

    Consent To Processing In The United States.

    By providing any Personal Identifiable Information to MyEdu, all users, including, without limitation, users in Canada and the member states of the European Union, fully understand and unambiguously consent to this Privacy Policy and to the transfer of such Personal Identifiable Information across international borders in accordance with MyEdu’s standard operations, including the collection, storage, and processing of such information in the United States of America.
